Terms of Service

These Terms of Service ("Terms") govern your access to and use of Whit, made by Software Secrets LLC ("we", "us", or "our"). They cover the Whit apps for iPhone, iPad, and Mac (the "Apps") and the getwhit.com website (the "Site", and together with the Apps, the "Service").

By downloading, installing, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated here by reference. If you do not agree, you may not use the Service.

Acceptance of Terms

By using the Service, you acknowledge that you have read, understood, and agree to these Terms.

Age Requirement: You must be at least 13 years old to use the Service. If you are under 18 (or the age of legal majority where you live), you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Authority to Agree: If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

Changes: We may modify these Terms as described in Changes to These Terms below. Your continued use after a change takes effect means you accept the updated Terms.

The Apps and the Website

Whit is a calm brain dump and daily planner for iPhone, iPad, and Mac. The Apps are distributed through the Apple App Store and the Mac App Store. The getwhit.com website is an informational and marketing site for Whit.

Availability: We work to keep the Service reliable, but we do not guarantee it will always be available or error-free. It may be unavailable from time to time due to maintenance, updates, technical issues, or events beyond our control.

Changes to the Service: We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may add, change, or remove features. We are not liable to you or any third party for any change, suspension, or discontinuation of the Service.

Apple services: Whit relies on Apple services, including iCloud, Apple Calendar, and Apple Reminders. Your use of those services is governed by Apple's own terms and privacy policy, and we are not responsible for them.

Your License to Use Whit

When you obtain Whit, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Apps on Apple devices you own or control, for your personal or internal business use, subject to these Terms and the App Store rules.

This license does not let you:

• Resell, sublicense, redistribute, or make commercial use of the Service beyond your own use;
• Copy, modify, or create derivative works from the Service except as expressly permitted;
• Use data mining, robots, scrapers, or similar methods to extract data from the Service; or
• Use the Service in any way other than as intended.

Reverse Engineering: You may not reverse engineer, decompile, or disassemble the Apps, or try to discover their source code or underlying algorithms, except to the extent that restriction is prohibited by applicable law.

Purchases, Billing, and Refunds

Whit is a one-time purchase of $99 that covers iPhone, iPad, and Mac, with a 7-day free trial and no subscription. Prices are shown on our pricing page and in the App Store, and are in United States Dollars (USD) unless stated otherwise.

Apple handles billing: All purchases are made through the Apple App Store or Mac App Store. Apple processes your payment and your free trial under Apple's terms. We never receive or store your payment-card details, and we cannot access your Apple payment information.

Taxes: Prices may be subject to taxes, which Apple collects and handles as part of the App Store transaction.

Price changes: We may change our pricing at any time. Any change applies to future purchases and does not affect a purchase you have already made.

Refunds and our 30-day guarantee: Refunds for App Store purchases are handled by Apple under Apple's refund policies, and Apple decides whether to grant them. In addition, we offer a 30-day money-back guarantee: if you are not satisfied, email support@getwhit.com within 30 days of your purchase and we will help you obtain a refund through Apple's process.

Intellectual Property

Ownership: The Service and all of its content, features, and functionality, including text, graphics, logos, images, audio, software, and code (collectively, "Whit Content"), are owned by Software Secrets LLC or our licensors and are protected by United States and international intellectual property laws.

Trademarks: "Whit" and the Whit name and logos are trademarks of Software Secrets LLC. You may not use them without our prior written permission. Other trademarks that appear in the Service belong to their respective owners.

Trade Secrets and Patents: The Service contains proprietary and confidential information, and certain aspects may be covered by patents or pending applications. Nothing in these Terms grants you a license under our patents, and you agree not to misuse our confidential information.

Feedback: If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without obligation or compensation to you.

Copyright Contact: We respect intellectual property rights. If you believe content in the Service infringes your copyright, contact us at support@getwhit.com with details of the work and the material at issue, your contact information, and a good-faith statement of your claim.

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any law or regulation;
• Use automated systems such as robots, spiders, or scrapers to access or collect data from the Service without our written permission;
• Upload or transmit viruses, malware, or any code that could harm or interfere with the Service or any system;
• Infringe the intellectual property, privacy, or other rights of anyone else;
• Use the Service to build, train, or improve a competing product, or to monitor its availability or performance for competitive purposes;
• Attempt to gain unauthorized access to, interfere with, or disrupt the Service or any system or network connected to it; or
• Bypass, disable, or circumvent any security feature or usage restriction in the Service.

Enforcement: We may, but are not obligated to, monitor use of the Service. If we reasonably determine you have violated these Terms, we may take appropriate action, including warning you, restricting or ending your access, removing offending material, reporting illegal activity to authorities, or seeking legal remedies. We are not liable for loss resulting from enforcement actions taken in response to violations.

Not a Medical Service

Whit is a calm productivity tool, not therapy, medical advice, or treatment. Any information in the Service is general and is not professional advice. If overwhelm or anxiety is seriously affecting your health, please reach out to a qualified professional.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, SOFTWARE SECRETS LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you, and you may have additional rights under the laws where you live.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SOFTWARE SECRETS LLC OR ITS OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US (OR PAID APPLE FOR THE APP) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100.00 USD).

Some jurisdictions do not allow these limitations, so they may not fully apply to you.

Indemnification

You agree to indemnify and hold harmless Software Secrets LLC and its affiliates, officers, employees, and agents from any claims, damages, losses, and reasonable expenses (including attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right. This obligation survives the end of these Terms.

Termination

By you: You may stop using the Service at any time. Because your content lives in your own iCloud, it stays with you.

By us: We may suspend or end your access to the Service if you violate these Terms or the law, if your use creates liability or interferes with others, or if we stop offering the Service. Where practical we will give notice, but we may act without notice when appropriate.

Effect: When these Terms end, your license to use the Apps ends and you should stop using them. We hold no account for you, and your Whit content remains in your own iCloud under your control. Sections that by their nature should survive, including Intellectual Property, Acceptable Use, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Severability, will survive.

Resolving Disputes

We would rather sort things out directly. If you have a concern, please email support@getwhit.com first and give us at least 30 days to resolve it informally before starting any formal proceeding. Any dispute that cannot be resolved informally will be handled by the courts described in Governing Law below.

Governing Law

These Terms and your use of the Service are governed by the laws of the State of Utah, without regard to its conflict-of-law rules. You agree that any legal action relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction and venue of those courts.

International users: If you use the Service from outside the United States, you do so on your own initiative and are responsible for complying with local law. Nothing in these Terms removes mandatory consumer rights you may have under the laws of your country.

Severability

If any provision of these Terms is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be, and the remaining provisions will stay in full force and effect.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will give notice by posting on getwhit.com, showing a notice in the Service, or by email where we have one, at least 30 days before the changes take effect, except that changes required by law may take effect immediately.

Your continued use of the Service after the changes take effect means you accept the updated Terms. The "Last updated" date above shows when these Terms last changed.

Apple App Store and Mac App Store

These terms apply when you download Whit from the Apple App Store or the Mac App Store. They are between you and Software Secrets LLC, not Apple.

• Apple is not a party: These Terms are the end user license agreement (EULA) between you and Software Secrets LLC. Apple has no obligation to provide any maintenance or support for the Apps. Where these Terms are silent, Apple's standard Licensed Application End User License Agreement applies.
• Product and IP claims: Software Secrets LLC, not Apple, is responsible for the Apps and for addressing any claims relating to them, including product liability, legal or regulatory conformance, and consumer-protection claims. If a third party claims the Apps infringe their intellectual property, Software Secrets LLC, not Apple, is responsible for the investigation and defense of that claim to the extent required by these Terms.
• Purchases: Purchases are processed by Apple and charged to your Apple Account under Apple's terms. We cannot access or modify your Apple billing. Refunds are handled by Apple as described in Purchases, Billing, and Refunds above.
• App Store rules: Your use of the Apps must comply with the applicable App Store Terms of Service. If those rules conflict with these Terms regarding usage of the Apps, the more restrictive rule applies.
• Third-party beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
• Age rating: The Apps are rated for ages 4+ under Apple's system. By using the Apps you confirm you meet the minimum age in Acceptance of Terms and, if under 18, have parental consent.
• Device and connectivity: The Apps require a compatible Apple device. Some features, such as iCloud sync, need an internet connection. We are not responsible for issues caused by device incompatibility or connectivity.
• Support: For help with the Apps, contact support@getwhit.com. Apple has no obligation to provide support.
